Advised an EdTech group operating across Kazakhstan, Uzbekistan and the United States on restructuring its holding and cash-flow model involving an Astana Hub resident parent company, an operating subsidiary in Uzbekistan and a US entity. The work covered CFC rules, applicable double tax treaties and preferential tech-park treatment, as well as the design of intercompany royalty, management fee and dividend allocation arrangements and preparation of the related intercompany agreements.
